  2. These Exhibitor Terms & Conditions (“Terms”) apply to every person or entity that applies for, is allocated or occupies an exhibition space at the Event (“Exhibitor”, “you”).
  3. By submitting an Exhibitor Application Form, paying any invoice issued by the Organiser, or occupying any exhibition space, the Exhibitor agrees to be bound by these Terms together with the Exhibitor Manual, the Drone Zone Terms (where applicable), and any venue rules issued by Cbus Super Stadium (together, the “Exhibitor Agreement”).
  4. In the event of any inconsistency, these Terms prevail over the Exhibitor Manual, which prevails over marketing materials. Venue rules apply at all times within the venue.

B.             Definitions

Exhibition Space means the floor area, shell scheme, custom build or other space allocated to the Exhibitor as set out in the Confirmation.

Force Majeure Event means any event beyond the reasonable control of a party, including (without limitation) acts of God, pandemic or epidemic, fire, flood, severe weather, earthquake, war, terrorism, civil disorder, strikes, government action, public health orders, airspace restrictions, loss of venue access or failure of essential services.

Fees means all fees payable by the Exhibitor for the Exhibition Space and any additional services, as set out in the Confirmation or any invoice.

Venue means Cbus Super Stadium, Robina QLD, and includes any area within the perimeter of the Event site.

C.             Application, allocation and acceptance

  1. Applications are made by submitting an Exhibitor Application Form. Submission of an application does not guarantee acceptance.
  2. The Organiser reserves the absolute right to accept or decline any application in its sole discretion, including on the basis of suitability, available space, competitive considerations or alignment with the Event’s theme.
  3. Where an application is accepted, the Organiser will issue a Confirmation and tax invoice. The Confirmation will record the location and size of the Exhibition Space and any inclusions.
  4. The Organiser reserves the right to relocate any Exhibition Space prior to or during the Event where reasonably necessary for operational, safety or layout reasons. The Organiser will use reasonable endeavours to consult with the Exhibitor before doing so.
  5. Exhibition Space is allocated on a non-exclusive licence basis only. No tenancy, lease or interest in land is created.

D.            Fees and payment

  1. All Fees are stated in Australian Dollars and are exclusive of GST unless expressly stated otherwise. GST will be added where applicable.
  2. Upon Confirmation, full payment of the invoiced amount is required within fourteen (14) days from the date of the invoice in order to secure the Exhibition Space.
  3. Time for payment is of the essence. If payment is not received within fourteen (14) days the Organiser may, without further notice and without limiting its other rights, cancel the Exhibitor’s allocation and reallocate the space. Any deposits or payments already made will be forfeited as liquidated damages.
  4. The Organiser may charge interest on overdue amounts at the rate of 10% per annum, calculated daily from the due date until payment is received in full, together with all reasonable costs of recovery (including legal costs on a solicitor and own client basis).
  5. The Exhibitor must not occupy or commence move-in to the Exhibition Space until all Fees have been paid in full.

E.             Cancellation by the Exhibitor

  1. Any cancellation by the Exhibitor must be made in writing to the Organiser at info@globaldroneshow.com and is effective on the date received by the Organiser.
  2. The following sliding-scale cancellation fees apply, expressed as a percentage of the total Fees:
    • More than 180 days before the first day of the Event: 25% of total Fees forfeited.
    • Between 90 and 180 days before the first day of the Event: 50% of total Fees forfeited.
    • Between 30 and 89 days before the first day of the Event: 75% of total Fees forfeited.
    • Less than 30 days before the first day of the Event: 100% of total Fees forfeited.
  3. Cancellation fees are agreed by the parties to be a genuine pre-estimate of the Organiser’s loss arising from cancellation, and are not a penalty.
  4. Reduction of Exhibition Space (downsizing) will be treated as a partial cancellation and the above scale will apply to the reduced portion.
  5. Non-attendance or failure to occupy the Exhibition Space without prior written cancellation will not entitle the Exhibitor to any refund.

F.              Cancellation, postponement or relocation by the Organiser

  1. The Organiser may, in its absolute discretion, cancel, postpone, shorten, relocate or modify the Event, including by reason of a Force Majeure Event, on health, safety, security, regulatory or commercial grounds.
  2. If the Event is postponed or relocated, the Exhibitor Agreement will continue in force and the Fees will be applied to the rescheduled or relocated Event. No refund will be payable on this basis.
  3. If the Event is cancelled in full and not rescheduled, the Organiser will refund Fees paid less a reasonable proportion to cover non-recoverable costs incurred by the Organiser up to the date of cancellation. To the maximum extent permitted by law, the Organiser is not liable for any other costs, losses or damages of the Exhibitor (including travel, accommodation, staffing, stand build, freight or lost profit).
  4. Exhibitors are strongly encouraged to obtain event cancellation insurance.

G.            Use of the Exhibition Space

  1. The Exhibitor must use the Exhibition Space only for the purposes set out in its application and in a manner consistent with the professional standing of the Event.
  2. The Exhibitor must not, without the Organiser’s prior written consent:
    • sublet, share, assign or transfer any part of the Exhibition Space;
    • promote any business, product or service of a party that is not a confirmed exhibitor or sponsor;
    • extend any display, signage, banner or activity beyond the boundary of the Exhibition Space, including into aisles or shared areas;
    • affix anything to the walls, floors, ceilings or fixtures of the Venue;
    • use sound, lighting or visual effects at a level which interferes with other exhibitors or attendees; or
    • conduct any raffle, competition, lottery or game of chance other than in accordance with applicable Queensland law.
  3. Static displays only. Exhibitors must not fly, hover, take-off, land or otherwise operate any drone, UAV, RPAS or remotely piloted aircraft from, within or above the Exhibition Space at any time. All flying demonstrations must be conducted exclusively within the designated Drone Zone under the direction of the Organiser and the appointed Chief Remote Pilot.
  4. The Exhibitor must comply with all safety directions and reasonable directions of the Organiser, the Venue, the Chief Remote Pilot and any emergency services personnel.
  5. Drone Zone participation. Where the Exhibitor, its personnel or its contractors participate in any demonstration, display or flight activity within the Drone Zone, that participation is additionally governed by the Drone Zone Terms, which the Exhibitor must read, accept and comply with before participating. In the event of any inconsistency between these Terms and the Drone Zone Terms as they relate to Drone Zone activity, the Drone Zone Terms prevail to the extent of that activity.

H.            Move-in, move-out and stand build

  1. Move-in, build and move-out times will be set out in the Exhibitor Manual. The Exhibitor must adhere strictly to these times. Out-of-hours access may incur additional charges.
  2. The Exhibitor is responsible for the design, construction, dismantling and removal of its stand and all freight, at its own cost. All stand designs that exceed standard shell scheme must be submitted to the Organiser for written approval.
  3. The Exhibition Space must be left in the same clean and undamaged condition in which it was received. The Exhibitor is liable for any damage caused to the Venue, equipment or other exhibitors’ property by the Exhibitor or its personnel, contractors or invitees.
  4. Any property left at the Venue after move-out may be removed and disposed of by the Organiser at the Exhibitor’s cost.

I.               Organiser-supplied inclusions and hired equipment

  1. Where the Confirmation records that the Exhibition Space includes furniture, equipment or other items provided by the Organiser (including, without limitation, a table and two chairs) (“Hired Equipment”), the Exhibitor acknowledges receipt of the Hired Equipment on occupying the Exhibition Space and must inspect it promptly and notify the Organiser in writing of any pre-existing damage or defect within 2 hours of move-in. Absent such notice, the Hired Equipment is deemed to have been received by the Exhibitor in good and undamaged condition.
  2. Risk in the Hired Equipment (including risk of loss, theft or damage) passes to the Exhibitor on occupation of the Exhibition Space and remains with the Exhibitor until the Hired Equipment is returned to the Organiser in the same condition, fair wear and tear excepted.
  3. The Exhibitor must not remove Hired Equipment from the Exhibition Space, and must return it to the Organiser at move-out in the condition required by item 2 above.
  4. If any Hired Equipment is lost, stolen, damaged or not returned, the Exhibitor must pay the Organiser, on demand, the cost of repair or, where repair is not reasonably practicable, the full replacement cost of the item, together with any reasonable associated costs incurred by the Organiser.
  5. This section is in addition to, and does not limit, the Exhibitor’s obligations under “Move-in, move-out and stand build” or the indemnity given under “Indemnity”.

J.              Work health and safety

  1. The Exhibitor must comply with the Work Health and Safety Act 2011 (Qld), all related regulations, codes of practice and the Venue’s work health and safety procedures.
  2. The Exhibitor is responsible for the health and safety of its personnel, contractors and invitees while at the Venue and must conduct its activities so as not to put any other person at risk.
  3. The Exhibitor must, on request, provide the Organiser with risk assessments, safe work method statements, public liability certificates and proof of qualifications for any contractor undertaking high-risk activities.
  4. Hazardous substances, naked flame, pyrotechnics, lasers, lithium battery displays in excess of capacity limits, and high-powered RF transmitters must not be brought to or operated within the Exhibition Space without the prior written consent of the Organiser and the Venue.

K.             Power and electrical safety

  1. The Organiser will provide a standard power inclusion (if any) as set out in the Confirmation. Any request for additional power capacity must be made in writing at least 14 days before the first day of the Event and may incur additional charges.
  2. The Exhibitor must not connect any equipment, appliance or display to the Venue’s electrical supply in excess of the capacity allocated to the Exhibition Space.
  3. All electrical equipment, leads and appliances brought to the Venue by the Exhibitor must be currently tested and tagged in accordance with AS/NZS 3760, and evidence of compliance must be provided to the Organiser on request.
  4. The Organiser may, without liability, disconnect or require the removal of any equipment that in its reasonable opinion poses a fire, electrical or safety risk, or exceeds the allocated power capacity.

L.              Insurance

  1. Public Liability Insurance. The Exhibitor must hold and maintain public liability insurance of not less than AUD $20,000,000 (twenty million dollars) per occurrence for the full duration of the Event, including bump-in and bump-out periods.

  3. A current Certificate of Currency for each policy must be provided to the Organiser no later than thirty (30) days before the first day of the Event and where available should note the Organiser as an interested party and include a waiver of subrogation. The Organiser may refuse access to any Exhibitor that fails to provide evidence of required insurance.
  4. The Exhibitor’s insurance does not limit or reduce the Exhibitor’s obligations or liability under the Exhibitor Agreement.

M.           Indemnity

  1. To the maximum extent permitted by law, the Exhibitor indemnifies and holds harmless the Organiser, the Venue, their related bodies corporate and their respective officers, employees, agents and contractors (the “Indemnified Parties”) from and against all loss, damage, liability, claim, demand, cost or expense (including legal costs on a solicitor and own client basis) arising out of or in connection with:
    • any act, omission or default of the Exhibitor or its personnel, contractors, invitees or visitors to the Exhibition Space;
    • any breach of the Exhibitor Agreement, the Exhibitor Manual or Venue rules by the Exhibitor;
    • any personal injury, death or property damage caused or contributed to by the Exhibitor or its personnel, contractors or invitees;
    • any infringement of intellectual property, defamation or breach of privacy by the Exhibitor; and
    • any product or service displayed, demonstrated, distributed or sold by the Exhibitor.
  2. The Exhibitor’s liability under this indemnity is reduced to the extent that the loss is caused by the negligence or wilful misconduct of an Indemnified Party.

N.            Limitation of liability

  1. To the maximum extent permitted by law, the Organiser excludes all liability for any indirect, consequential, special or punitive loss, including loss of profit, revenue, goodwill, opportunity, data or anticipated savings, however arising.
  2. To the maximum extent permitted by law, the Organiser’s total aggregate liability to the Exhibitor under or in connection with the Exhibitor Agreement is limited to the total Fees paid by the Exhibitor to the Organiser for the Event.
  3. Nothing in these Terms excludes, restricts or modifies the application of any consumer guarantee, right or remedy under the Australian Consumer Law where to do so would contravene that law or cause any part of these Terms to be void.

O.            Security, property and risk

  1. General security will be provided in the public areas of the Event during published opening hours. The Organiser does not provide individual stand security and accepts no responsibility for theft, loss or damage to Exhibitor property.
  2. All property of the Exhibitor brought into the Venue is at the sole risk of the Exhibitor. The Exhibitor is responsible for arranging its own property insurance.
  3. The Exhibitor must not leave high-value items unattended at any time, including overnight.

P.             Intellectual property and marketing

  1. Each party retains ownership of its own intellectual property. Nothing in the Exhibitor Agreement transfers ownership of any intellectual property between the parties.
  2. The Exhibitor grants the Organiser a non-exclusive, royalty-free licence to use the Exhibitor’s name, logo and a description of its goods and services for the purpose of marketing, promoting and reporting on the Event (including on the Event website, social media and printed collateral).
  3. The Exhibitor consents to the Organiser photographing and filming the Exhibition Space and the Event generally, and to the use of those images and recordings for any purpose connected with the Event or the Organiser’s business.
  4. The Exhibitor warrants that it owns or is licensed to use all intellectual property displayed, demonstrated or distributed at the Event.

Q.            Privacy and data protection

  1. Each party will comply with the Privacy Act 1988 (Cth) and the Australian Privacy Principles in relation to any personal information collected, used or disclosed in connection with the Event.
  2. Where the Exhibitor collects personal information from attendees (including via business card drops, lead capture devices or competitions), the Exhibitor must clearly inform attendees of the purpose of collection and obtain any consents required by law.
  3. The Organiser will not provide the Exhibitor with attendee data except where the attendee has expressly opted-in to share their details with that Exhibitor.

R.             Compliance with laws

  1. The Exhibitor must comply with all applicable laws, including (without limitation) the Australian Consumer Law, the Work Health and Safety Act 2011 (Qld), the Liquor Act 1992 (Qld), the Food Act 2006 (Qld), the Spam Act 2003 (Cth), the Privacy Act 1988 (Cth), and where applicable, CASA regulations and any regulations made under those Acts.
  2. Where the Exhibitor displays, demonstrates or sells any aviation, drone or UAV technology, the Exhibitor must comply with all applicable Civil Aviation Safety Authority (CASA) requirements, including Part 101 of the Civil Aviation Safety Regulations 1998 (Cth).
  3. The sale or sampling of food and beverage is prohibited without the prior written consent of the Organiser and the Venue and the production of all required permits.

S.             Dispute resolution

  1. If a dispute arises between the parties in connection with the Exhibitor Agreement, the party raising the dispute must give the other party written notice describing the dispute and the outcome sought.
  2. The parties must, within 10 business days of that notice, meet (in person or remotely) and negotiate in good faith to resolve the dispute.
  3. If the dispute is not resolved within 20 business days of the notice, either party may refer the dispute to mediation administered by the Resolution Institute (or another mediator agreed by the parties) before commencing court proceedings, except where a party seeks urgent injunctive or other interlocutory relief.
  4. Nothing in this section prevents a party from seeking urgent injunctive or interlocutory relief from a court at any time.

T.             Termination

  1. The Organiser may immediately terminate the Exhibitor Agreement and remove the Exhibitor from the Venue without refund where the Exhibitor:
    • breaches any material term of the Exhibitor Agreement and fails to remedy the breach within any reasonable time specified by the Organiser;
    • becomes insolvent, has an administrator, liquidator or controller appointed, or is otherwise unable to pay its debts;
    • engages in conduct that, in the Organiser’s reasonable opinion, is unsafe, unlawful, defamatory or damaging to the reputation of the Event; or
    • fails to hold the required insurance.
  2. Termination does not affect any rights or remedies of the Organiser accrued prior to termination, including the right to retain all Fees paid.

U.            General

  1. Governing law and jurisdiction. The Exhibitor Agreement is governed by the laws of Queensland, Australia. The parties submit to the exclusive jurisdiction of the courts of Queensland and the courts competent to hear appeals from those courts.
  2. Entire agreement. The Exhibitor Agreement records the entire agreement between the parties in relation to its subject matter and supersedes any prior agreement or representation.
  3. The Organiser may amend these Terms by giving written notice to the Exhibitor where reasonably necessary, including to reflect changes in law, venue rules or operational requirements.
  4. The Exhibitor must not assign or transfer the Exhibitor Agreement without the prior written consent of the Organiser.
  5. If any provision of these Terms is held to be invalid or unenforceable, that provision is severed and the remaining provisions continue in force.
  6. Notices must be in writing and sent to info@globaldroneshow.com (for the Organiser) or to the email address recorded on the Exhibitor Application Form (for the Exhibitor).
  7. Nothing in the Exhibitor Agreement creates a partnership, joint venture, agency or employment relationship between the parties.
  8. No waiver. A failure or delay by a party to exercise a right, power or remedy under the Exhibitor Agreement does not operate as a waiver of that right, power or remedy, and a single or partial exercise of it does not prevent any further exercise of it or the exercise of any other right, power or remedy.
  9. Electronic execution. The Exhibitor Agreement may be signed electronically (including by digital signature or electronic acceptance of an online form) and in counterparts, and each party consents to the other party’s use of electronic signature to the extent permitted by the Electronic Transactions (Queensland) Act 2001.
  10. Authority to bind. The individual signing or otherwise accepting the Exhibitor Agreement on behalf of the Exhibitor warrants that they are duly authorised to bind the Exhibitor to its terms.
